Terms of Service

1. Acceptance

These Terms of Service ("Terms") are a binding agreement between you and Inherent Technologies ("we", "us") governing your use of the XgnSMS service (the "Service") at xgnsms.com. By creating an account or using the Service, you agree to these Terms.

2. Description of Service

XgnSMS is a self-hostable SMS gateway that lets you send and receive text messages through virtual phone numbers provisioned via Telnyx. Features include outbound SMS API, inbound webhook routing, message history, contact management, and phone-number administration.

3. SMS Terms & Conditions

By using the Service to send SMS, you acknowledge and agree:

  • Consent is required. You will only send SMS to recipients who have explicitly opted in to receive messages from you. You maintain records of consent and can produce them on request.
  • Message frequency varies based on the use case (account notifications, verification codes, customer support, etc.).
  • Message and data rates may apply. Recipients' carriers may charge them for received messages.
  • Opt-out keywords. Recipients may reply STOP, UNSUBSCRIBE, CANCEL, END, or QUIT at any time. The Service will automatically block further messages to that recipient.
  • Help keyword. Recipients may reply HELP or INFO to receive help information and your contact details.
  • Opt-in data will not be shared with third parties or affiliates for marketing purposes.
  • Carrier compliance. You agree to comply with all applicable U.S. wireless carrier requirements, including 10DLC/A2P registration and toll-free verification where required.
  • Legal compliance. You comply with the TCPA, CAN-SPAM, CTIA guidelines, and all other applicable laws governing SMS and mobile marketing.

4. Acceptable Use

You will not use the Service to send, facilitate, or support:

  • Spam, unsolicited bulk messaging, or phishing.
  • Content related to SHAFT (Sex, Hate, Alcohol, Firearms, Tobacco) unless specifically permitted by carrier rules and recipient consent.
  • Fraud, deception, impersonation, or misleading sender identity.
  • Harassment, threats, or messages targeting protected characteristics.
  • Any content that violates applicable laws or third-party rights.

We may suspend or terminate your account for any violation of this section without prior notice.

5. Accounts

You are responsible for maintaining the confidentiality of your account credentials and API keys, and for all activity that occurs under your account. Notify us immediately at security@xgnsms.com of any unauthorized use.

6. Fees

The Service software is provided free. Messaging is billed at the underlying Telnyx rates (virtual number subscription plus per-message charges). You are responsible for maintaining a positive balance in your Telnyx account.

7. Intellectual Property

The XgnSMS name, logo, and software are owned by Inherent Technologies. You retain ownership of the content you send through the Service.

8. Disclaimer of Warranty

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT GUARANTEE MESSAGE DELIVERY, WHICH DEPENDS ON CARRIERS AND NETWORK CONDITIONS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR US$100, WHICHEVER IS GREATER. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES.

10. Indemnity

You will indemnify and hold Inherent Technologies harmless from any claims, damages, or expenses arising from your use of the Service, your content, or your violation of these Terms.

11. Termination

You may terminate your account at any time. We may suspend or terminate accounts that violate these Terms or that pose risk to the Service or other users.

12. Governing Law

These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-law rules. Venue for any dispute is the state or federal courts located in Maricopa County, Arizona.
